SHORT DESCRIPTION:  Counter-Party Risk Certification due by April 30, 2013

INTENDED AUDIENCE:  Counter-Parties

DAY AFFECTED:  April 30, 2013

LONG DESCRIPTION:  ERCOT Protocols Section 16.16.12  requires all Counter-Parties to submit to ERCOT annually a notarized certificate, signed by an officer or executive with authority to bind the Counter-Party, in the form of Section 22, Attachment J, Annual Certification Form to Meet ERCOT Additional Minimum Participation Requirements, certifying that the Counter-Party (a) is  in compliance with each of the Counter-Party criteria and (b) agrees to procedures for verification of its risk management framework as described in Section 16.16.3, Verification of Risk Management Framework.

The Annual Certification Form must be received by ERCOT no later than 120 days after the close of the fiscal year of the Counter-Party or its guarantor.

ACTION REQUIRED: Counter-Parties or their Guarantors with fiscal years ending December 31, 2012 should provide a signed and notarized certificate in the form of Protocol Section 22 Attachment J, Annual Certification Form to ERCOT no later than April 30, 2013.  Compliance with these requirements will avoid any remedial action (e.g., material breach) as authorized under the Standard Form Market Participant (MP) Agreement, the ERCOT Protocols and/or the Public Utility Regulatory Act (PURA).
