SHORT DESCRIPTION: 50th Annual ERCOT Membership Meeting to be Held by Teleconference on December 8, 2020

LONG DESCRIPTION: ERCOT continues to closely monitor the Coronavirus (COVID-19) outbreak, and follow guidance from federal, state, and local health agencies, along with epidemiologist recommendations.  As such, ERCOT will continue to restrict visitation at all ERCOT facilities and for ERCOT events for the foreseeable future, including through the end of the year. 

50th Annual ERCOT Membership Meeting by Teleconference

ERCOT is legally required to hold an annual Membership meeting. Given the uncertainty created by the pandemic for large meetings in enclosed spaces, travel, and group dining, the 50th Annual ERCOT Membership Meeting (Meeting) currently scheduled for December 8, 2020 will be conducted by teleconference (WebEx) rather than in person. The teleconference will be held during the afternoon following the ERCOT Board of Directors (Board) meeting on the same date.

Essential Business Only; No Keynote Speaker

In past years, ERCOT has hosted keynote speakers for the Meeting; however, this year the business conducted at the Meeting is expected to be limited to required organizational matters only, which will include:

• A vote to approve the 2019 Annual Membership Meeting minutes;
• A vote to confirm the members of the 2021 Board;
• A vote to elect Craig S. Ivey, an Unaffiliated Director candidate selected by the ERCOT Nominating Committee to begin service upon final approval by the Public Utility Commission of Texas; and
• An announcement of the Board’s confirmation of 2021 Technical Advisory Committee (TAC) Representatives.

WebEx Participation Reserved for Voting Corporate Members or their Proxies; Meeting to be Webcast to Public

While only Designated Representatives of ERCOT Corporate Members or their proxies will be able to participate in and vote at the Meeting by WebEx, the Meeting will be publicly webcast by Swagit through a link on the ERCOT website.

Additional details regarding the Meeting, including the Meeting Invitation and Agenda, RSVP Form and Proxy and Alternate Representative Form, will be emailed to Members after the November 6, 2020 Record Date for voting on matters at the Meeting.

In order to achieve quorum (at least fifty-one percent (51%) of the Corporate Members), ERCOT strongly encourages the designation of a proxy if there is any doubt that a Corporate Member may not be able to join the meeting.  ERCOT appreciates your understanding and requests your partnership during this time.
