LONG DESCRIPTION:  51st Annual ERCOT Membership Meeting by Teleconference

ERCOT is legally required to hold an annual Membership meeting. Given the uncertainty created by the COVID pandemic for large meetings in enclosed spaces, travel, and group dining, the 51st Annual ERCOT Membership Meeting (Meeting) currently scheduled for December 10, 2021 will be conducted by teleconference (WebEx) rather than in person. The teleconference will be held during the afternoon following the ERCOT Board of Directors (Board) meeting on the same date.

Essential Business Only; No Keynote Speaker

In past years, ERCOT has hosted keynote speakers for the Meeting; however, similar to the 50th Annual Membership Meeting in December 2020, this year the business conducted at the Meeting is expected to be limited to required organizational matters only, which will include:

• A vote to approve the 2020 Annual Membership Meeting Minutes; and
• An announcement of the Board’s confirmation of 2022 Technical Advisory Committee (TAC) Representatives.

The Board Chair and ERCOT Interim President and CEO are also each expected to provide brief comments to the Corporate Members.

WebEx Participation Reserved for Voting Corporate Members or their Proxies; Meeting to be Webcast to Public

While only Designated Representatives of ERCOT Corporate Members or their proxies will be able to participate in and vote at the Meeting by WebEx, the Meeting will be publicly webcast by Swagit through a link on the ERCOT website.

Additional details regarding the Meeting, including the Meeting Invitation and Agenda, RSVP Form and Proxy and Alternate Representative Form, will be emailed to Members for voting on matters at the Meeting.

In order to achieve quorum (at least fifty-one percent (51%) of the Corporate Members), ERCOT strongly encourages the designation of a proxy if there is any doubt that a Corporate Member may not be able to join the meeting.  ERCOT appreciates your understanding and requests your partnership during this time.
